Dintshang Terms and Conditions

Welcome to Dintshang, a platform owned and operated by Bonafela AI (Pty) Ltd ("Bonafela AI," "we," "us," "our"). These Terms and Conditions ("Terms") govern your access to and use of the Dintshang website, services, and applications (collectively, the "Platform"). Please read these Terms carefully. By creating an account or using the Platform, you are entering into a binding agreement with Bonafela AI (Pty) Ltd and agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account and using our Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Platform. You must be at least 18 years old to use the Platform.

2. The Platform's Services

Dintshang is a comprehensive economic ecosystem that enables:

  • Content Creation & Entertainment: Artists, musicians, and performers (hereinafter "Creators") to upload and showcase content for event bookings, pay-per-view video on demand, and live streaming.
  • Professional Services & Education: Subject matter experts, strategists, and instructors (hereinafter "Specialists") to offer professional services, consulting, and educational content through Masterclasses and digital downloads.
  • Commerce: Brands and Merchants to list products and recruit Creators as affiliates for sales campaigns.
  • Facilitation of secure financial transactions (Escrow, Royalties, and Split Payments) for all services offered on the Platform.

3. User Accounts and Conduct

3.1. Account Registration

To access certain features of the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or suspect any security breaches related to the Platform.

3.2. Community Guidelines

By using the Platform, you agree to abide by our Community Guidelines, which are incorporated into these Terms by reference. These guidelines are designed to ensure a safe, professional, and respectful environment for all users. Failure to adhere to these guidelines may result in content removal, account suspension, or permanent termination.

4. Content and Intellectual Property Rights

4.1. Creator and Specialist Ownership

Creators and Specialists retain full ownership of the intellectual property rights to the content they upload, including but not limited to videos, music, course materials, PDFs, and artistic works. However, by uploading content, you grant Dintshang a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform the content in connection with the Platform's services. This license is solely for the purpose of operating, promoting, and improving the Platform.

4.2. Platform Content

The Platform and its original content, features, and functionality are and will remain the exclusive property of Bonafela AI (Pty) Ltd and its licensors.

4.3. Prohibited Content

You may not post content that is illegal, obscene, defamatory, threatening, infringing of intellectual property rights, invasive of privacy, or otherwise injurious to third parties. We reserve the right to remove any content that violates these Terms or our Community Guidelines.

4.4. Data Analytics

You grant Dintshang the right to use, analyze, and aggregate data derived from your use of the Platform. All such data will be anonymized and will not personally identify you. This data may be used for business intelligence, marketing, and to improve the Platform's services.

4.5. Educational Content Disclaimer

Content provided in Masterclasses or educational videos represents the views and expertise of the specific Specialist. Dintshang does not guarantee specific results, professional qualifications, or learning outcomes from consuming this content.

5. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which details how we collect, use, and protect your personal information in compliance with the Protection of Personal Information Act (POPIA). By agreeing to these Terms, you acknowledge that you have read and understood our Privacy Policy.

6. Fees and Payments

6.1. Transaction Fees

Dintshang charges a platform fee for services facilitated through the Platform, such as ticket sales, pay-per-view access, masterclass purchases, and bookings. These fees are deducted automatically from the transaction amount before the net balance is paid to the Creator or Specialist.

6.2. Taxes

You are solely responsible for determining any tax liabilities incurred from your use of the Platform, including VAT or income tax. Bonafela AI acts as a facilitator of payments and is not responsible for withholding, collecting, reporting, or remitting any taxes arising from transactions, except where required by South African law.

6.3. Payment Processing

We use third-party payment processors to handle financial transactions. By using the Platform, you agree to the terms and conditions of these processing partners. We reserve the right to correct any errors or mistakes that the payment processor makes even if payment has already been requested or received.

7. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Bonafela AI makes no representations or warranties of any kind, express or implied, regarding the operation of the Platform or the information, content, materials, or products included on the Platform. You expressly agree that your use of the Platform is at your sole risk.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Bonafela AI (Pty) Ltd, its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Platform;
  • Any conduct or content of any third party on the Platform;
  • Any content obtained from the Platform; and
  • Unauthorized access, use, or alteration of your transmissions or content.

9. Indemnification

You agree to defend, indemnify, and hold harmless Bonafela AI (Pty) Ltd and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Platform, or b) a breach of these Terms.

10. Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Platform will immediately cease.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms.
